01 Acceptance of Terms

Weeket, Inc. welcomes you! The following are the terms and conditions of service ("Terms and Conditions") that govern your use of the www.weeket.com website ("The Site") and applications, which may be updated by us from time to time without notice to you. Any changes we make will be effective immediately at the time we post a revised version of these Terms and Conditions on The Site. By visiting and using Weeket.com, you expressly accept and agree to our current Terms and Conditions.

02 Our Services

Weeket.com is an online ticketing company that provides users with information, a variety of resources, advertisement services and shopping tools on activities and events — ranging from fishing trips, parachuting, or dance classes to nightclubs, concerts, shows or private events. You understand and agree that by obtaining access to Weeket.com services:

• Any associated third-party service fees and necessary equipment are your sole responsibility.
• You agree to receive certain communications from us, such as service announcements and administrative notifications, and understand they are part of Weeket.com's necessary services.
• Weeket.com service is provided "AS IS."
• Weeket.com assumes no responsibility for any content that gets lost, deleted, or fails to work on The Site.

03 Proprietary Rights

You acknowledge and agree that all of The Site's software, applications, design, graphic material, text, videos, images, photographs, trademarks, trade names, service marks and other copyrightable material are the sole property of Weeket.com and/or its subsidiaries, affiliates or assigns, and are protected by applicable intellectual property laws pursuant to U.S. and foreign copyright, trademark and other applicable laws.

Weeket.com hereby grants you a personal, non-transferable, non-exclusive and non-assignable right and license to use and display the Site's material on a single computer for non-commercial and personal use only. You will not — and will not allow any third party to — reproduce, copy, modify, create a derivative work from, reverse engineer, reverse assemble or otherwise attempt to discover any source code, sell, assign, sublicense, grant a security interest in, or otherwise transfer any right in the Software. Use of Weeket.com and/or its licensor's materials is only permitted with our express written authorization. Any unauthorized or prohibited use may subject the offender to civil liability and criminal prosecution under applicable laws.

You understand that through your use of Weeket.com you consent to the collection and use of the information provided, including the transfer of this information for storage, processing and use by Weeket.com and its affiliates as set forth in our privacy policy.

05 Member's Code of Conduct

You agree that all information, software, text, photographs, graphics, videos, messages, tags or any other material — whether publicly posted or privately transmitted — are the sole responsibility of the person from whom such content originated. You are entirely responsible for all content that you upload, post, transmit or otherwise make available using Weeket.com services. Weeket.com does not control the content posted on The Site and, as such, we do not guarantee the accuracy, integrity or quality of such content. Under no circumstances will Weeket.com be liable in any way for any content, including but not limited to any errors or omissions in any content, or any loss or damage of any kind incurred as a result of the use of any content posted, transmitted or otherwise made available via Weeket.com.

You agree to comply with all applicable laws, rules and regulations, and not to use Weeket.com services to submit, post, upload, transmit or otherwise make available:

• Any content or information that is unlawful, fraudulent, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, pornographic, sexually explicit, libelous, indecent, violent, profane, infringing of our or any third party's intellectual property, invasive of another's privacy, hateful, or racially, ethnically or otherwise objectionable.
• Any content or information that infringes any patent, trademark, copyright or other proprietary rights, or any non-public information about any company or person without prior authorization.
• Any data that contains malware, viruses, files or programs designed to interrupt, destroy or steal information, or in any way harm, modify, limit or end the functionality of any software or telecommunication equipment.

You further agree that you will not:

• Interfere with, overburden or disrupt Weeket.com services, appearance, transactional events, servers or network.
• Use the Site for any unlawful multi-level marketing, such as links, advertisements, solicitations, chain letters, pyramid schemes, surveys, contests, investment opportunities or other unsolicited commercial communication.
• Harm minors in any way.
• Use the Site for any unlawful purpose.
• Engage in spamming or flooding.
• Express or imply that any statements you make are endorsed by us, without our prior written consent.
• Impersonate any person or entity, whether actual or fictitious, including any employee or representative of Weeket.com.
• Order a number of tickets for an event that exceeds the stated limit for that event.

06 Disclaimer of Warranties

• aOur services are provided on an "AS IS" and "AS AVAILABLE" basis. We do our best to keep the Site online, safe, and free of viruses and bugs, without warranties of any kind — whether express or implied — including but not limited to the implied warranties of title, accuracy, non-infringement, merchantability, and fitness for a particular purpose, or warranties that may arise from the course of dealing, course of performance or usage of trade. Use of Weeket.com services and software is at your own risk, and you hereby waive any and all claims and causes of action with respect to any damage to your computer system, internet access, download or display device, or loss of data that may result from the download of any such material.
• bWeeket.com makes no warranty that our services or software will be uninterrupted, timely, secure, error-free or meet your requirements. We do not warrant the reliability of the information or results that may be obtained from the use of Weeket.com services or software, nor that the quality of any products, services or other material purchased or obtained by you through Weeket.com services or software will meet your expectations.
• cWe are not responsible for the actions or information of third parties, and you release us from any and all claims, causes of action and damages, known and unknown, arising out of or in any way connected with any claim you have against any such third parties.
• dSome jurisdictions do not allow the exclusion of certain warranties or the limitation or exclusion of liability for incidental or consequential damages. Accordingly, some of the above limitations may not apply to you.

07 Limitation of Liability

You expressly understand and agree that Weeket.com and its affiliates, officers, employees, agents, partners, licensors, event providers, suppliers and advertisers shall not be responsible or liable to you or anyone else for — and you hereby waive all rights to seek — direct, indirect, incidental, special or consequential damages of any type (other than out-of-pocket expenses), and any rights to have damages multiplied or otherwise increased, arising out of or in connection with the Site, the content, or any product or service purchased through the Site, even if we have been advised of the possibility of such damages, resulting from:

• Failure of another user of the Site to abide by the codes of conduct.
• Personal injury or property damage, of any nature whatsoever, whether arising in contract or tort, resulting from your use of our website.
• Unauthorized access to or alteration of our software, servers, network and/or any personal or financial information stored.
• Any errors, omissions or inaccuracies in any content.
• Any damaged, lost or stolen ticket, or the failure of a venue to honor a ticket.

08 Indemnification

You agree to indemnify, defend and hold harmless Weeket.com and its officers, employees, agents, partners, licensors, event providers, suppliers and advertisers from any claim or demand, and against all losses, expenses, damages and costs — including reasonable attorneys' fees — made by any third party due to or arising out of content you submit, post, transmit, modify or otherwise make available through the use of Weeket.com services, or resulting from any violation of this Agreement by you.

Weeket.com reserves the right to assume, at its sole expense, the exclusive defense and control of any matter subject to indemnification by you, in which event you will fully cooperate with Weeket.com in asserting any available defenses.

09 Claims of Copyright or Intellectual Property Infringement

At Weeket.com we respect the intellectual property of others and strongly recommend and ask our users to do the same. If you believe your copyright-protected work or intellectual property interest was posted on Weeket.com without authorization, you may submit a copyright infringement notification. These requests can only be submitted by the copyright owner or an authorized agent acting on the owner's behalf.

The following information is mandatory with every claim:

• Your contact information: email, phone number, and mailing address.
• A physical or electronic signature of the person authorized to act on behalf of the owner of the copyright or other intellectual property interest.
• A detailed description of the copyrighted work or other intellectual property that you claim has been infringed.
• The actual location on Weeket.com of the copyrighted work or other intellectual property that you claim is infringing.
• A statement that you have a good-faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law.
• A statement, made under penalty of perjury, that the above information is accurate and that you are the copyright or intellectual property owner or authorized to act on the owner's behalf.

10 Disputes & Governing Law

You will resolve any claim, cause of action or dispute you have with us arising out of or relating to this Statement or Weeket.com exclusively in a state or federal court located in Miami-Dade County, Florida. The laws of the State of Florida will govern this Statement, as well as any claim that might arise between you and us, without regard to conflict-of-law provisions. You agree to submit to the personal jurisdiction of the courts located in Miami-Dade County, Florida, for the purpose of litigating all such claims.

11 Language

This agreement was written in English (US). To the extent any translated version of this agreement conflicts with the English version, the English version controls.
